1. Acceptance of Terms
By accessing or using the Trux platform (website, shipper portal, fleet portal, or any associated service), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use Trux. These terms constitute a legally binding agreement between you and Trux Technologies Pvt. Ltd., a company incorporated under the Companies Act, 2013, with its registered office in Bengaluru, Karnataka, India.
2. Eligibility
You must be at least 18 years of age to use Trux. By using the platform, you represent that: • You are at least 18 years old; • You have the legal capacity to enter into binding contracts under Indian law; • If registering on behalf of a business, you have the authority to bind that entity; • You are not prohibited from using the service under any applicable law.
3. Account Registration & KYC
3.1 OTP-Based Registration
Your mobile phone number is your primary identifier on Trux. Registration is completed by verifying a 6-digit OTP sent to your phone. You may register as a Shipper or as a Fleet Operator. Fleet employees and drivers may be added to an existing fleet account by the fleet owner.
3.2 KYC Verification
To access full platform functionality, you must complete KYC verification by submitting the required documents: • Shippers: PAN card, GST certificate (if applicable), Aadhaar or company registration • Fleet Operators: PAN card, GST certificate, Aadhaar, company registration • Vehicles: RC (Registration Certificate), insurance certificate (mandatory); National/State permit, fitness certificate, PUC certificate (required where applicable) • Drivers: valid driving licence, Aadhaar card KYC documents are reviewed by Trux admin. Status progresses from PENDING → UNDER_REVIEW → APPROVED or REJECTED. Trux reserves the right to reject or revoke KYC approval at its discretion.
3.3 Account Security
You are responsible for all activity under your account. OTPs are valid for a limited time and should never be shared. If you suspect unauthorised access to your account, notify Trux immediately at support@trux.in. Trux is not liable for losses arising from failure to maintain account security.
3.4 Accurate Information
You agree to provide truthful, accurate, and current information at all times — including company details, vehicle specifications, driver credentials, document uploads, and payment receipts. Submission of false or forged documents is a ground for immediate account termination and may result in legal action.
4. Platform Services
4.1 For Shippers
Trux provides shippers a platform to: • Post freight loads with multi-stop pickup and drop configurations (up to 5 locations) • Specify material type, vehicle type, load weight, and freight price • Review expressions of interest from fleet operators • Confirm a fleet operator assignment • Track shipments in real-time via driver checkpoint updates • Review and approve photo-based Proof of Delivery (POD) at each drop location • Upload payment tranches and track disbursement to fleet operators
4.2 For Fleet Operators
Trux provides fleet operators a platform to: • Browse an open marketplace of available freight loads • Express interest in loads or accept loads directly • Register and manage vehicles with required compliance documents • Onboard and manage drivers with KYC verification • Assign a specific vehicle and driver to accepted loads • Log real-time trip status updates at every checkpoint • Submit photo-based POD at each drop point • Track payments, payout history, and earnings analytics
4.3 Load Lifecycle
Every load on Trux follows a defined lifecycle: OPEN → (fleet expresses interest or accepts) → PENDING_CONFIRMATION or ASSIGNED → (shipper confirms) → CONFIRMED → (fleet assigns vehicle + driver, trip begins) → VEHICLE_STARTED → IN_TRANSIT → REACHED_DESTINATION → UNLOADING → IN_PROGRESS → COMPLETED A load may be CANCELLED at any stage by the shipper or by Trux admin. Loads automatically expire if not accepted within the time window set by the shipper.
4.4 Partial Load Assignments
Trux supports partial booking, where a shipper may accept separate fleet operators to handle different segments or weight portions of a single load. Each partial assignment follows the same lifecycle and POD requirements.
4.5 No Common Carrier
Trux is a technology platform and marketplace intermediary. Trux is not a freight carrier, logistics service provider, or agent of any party. The contractual relationship for freight movement is directly between the shipper and the fleet operator. Trux is not a party to that contract.
5. Proof of Delivery (POD)
For every drop location on a load, the assigned fleet driver must submit photo-based Proof of Delivery via the fleet portal. POD submissions are reviewed by Trux admin and then forwarded to the shipper for approval. A load is marked COMPLETED only after all per-drop PODs have received shipper approval. Shippers must approve or reject PODs within 7 days of submission; failure to act within this window may result in Trux treating the POD as accepted. If a shipper rejects a POD, the fleet operator will be notified and may re-submit with corrected documentation. Persistent POD disputes are escalated to the Trux support team through the Issues module.
6. Fees & Payments
6.1 Platform Fees
Trux may charge platform fees or commissions for facilitating load matching and transactions. Current fee schedules are displayed within the platform. Trux reserves the right to change fees with 14 days' prior written notice.
6.2 Payment Process
Payment between shippers and fleet operators is managed through the Trux platform as follows: 1. When a shipper confirms a fleet operator, a payment record is created automatically 2. The shipper uploads bank payment receipts (tranches) against the agreed freight amount 3. Trux admin verifies each receipt against bank records 4. Upon verification, Trux admin records the fleet payout — the fleet operator's registered bank account is credited All payment receipts, tranche amounts, verification records, and payout entries are visible to the respective parties on their dashboards.
6.3 Tranche-Based Settlements
Payments may be settled in multiple tranches as agreed between shipper and fleet operator. Each tranche requires a separate receipt upload and admin verification. Partial payments are tracked and reflected in each party's payment dashboard.
6.4 Payment Disputes
Payment disputes must be raised via the Issues module within 7 days of the disputed transaction. Trux will act in good faith to assist resolution but is not liable for funds held, transferred, or disputed outside the platform.
6.5 Bank Account Verification
Fleet operators must register and verify a bank account before payouts can be processed. Bank account details (account number, IFSC, account holder name) are verified by Trux admin using a cancelled cheque or bank passbook upload.
6.6 Taxes
You are responsible for determining and paying all applicable taxes — including GST — on transactions conducted through Trux. Trux will provide GST invoices for platform fees where applicable.
7. Ratings & Reviews
After a load is completed: • The shipper may rate the fleet operator and the assigned driver (1–5 stars with optional review text) • The fleet operator may rate the shipper (1–5 stars with optional review text) Ratings are linked to the specific load and are visible to other platform users as part of the reputation system. You may not submit more than one rating per party per completed load. Ratings must be honest and not defamatory. Trux reserves the right to remove ratings that violate these terms.
8. Disputes & Issue Resolution
Trux provides an Issues module for reporting disputes related to loads, payments, fleet operator conduct, shipper conduct, or other platform interactions. Reports follow the status workflow: OPEN → IN_REVIEW → RESOLVED → CLOSED. Submitting a report does not constitute legal action. Trux support team will investigate in good faith and provide a resolution within a reasonable time. For disputes involving significant financial claims, Trux may require documentation and may refer the matter to arbitration as set out in Section 12.
9. User Obligations & Prohibited Conduct
9.1 Shipper Obligations
• Post loads with accurate pickup/drop addresses, material description, weight, and pricing • Respond to fleet interest and confirm assignments in a timely manner • Upload legitimate bank payment receipts for all agreed tranches • Review and action POD submissions within 7 days • Not cancel confirmed loads without valid cause
9.2 Fleet Operator Obligations
• Ensure all registered vehicles have valid RC, insurance, and applicable permits before accepting loads • Ensure drivers have valid licences and approved KYC before assignment • Provide accurate real-time trip status updates • Submit photo-based POD at every drop location • Not accept loads the fleet is not capable of fulfilling
9.3 Prohibited Conduct
You must not: • Submit forged, altered, or misleading KYC or vehicle documents • Upload fabricated payment receipts • Circumvent the platform to transact directly with another party and avoid Trux fees after initial platform contact • Harass, threaten, or abuse other users or Trux staff • Create multiple accounts to circumvent restrictions or bans • Use the platform for money laundering, sanctions evasion, or any illegal activity • Attempt to compromise platform security, reverse-engineer the software, or access another user's account • Post or submit content that is defamatory, obscene, or violates any third-party intellectual property right
9.4 Legal Compliance
You are responsible for complying with all applicable laws when using the platform, including the Motor Vehicles Act 1988, Central Motor Vehicles Rules, Goods and Services Tax Act, Payment and Settlement Systems Act, and all state-specific transport regulations.
10. Intellectual Property
All content, features, source code, design, trademarks, and proprietary data models of the Trux platform are owned by Trux Technologies Pvt. Ltd. and protected under applicable intellectual property law. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the platform solely for its intended commercial purpose. You may not copy, modify, distribute, reverse-engineer, scrape, or create derivative works from any part of the platform without prior written consent from Trux.
11. Disclaimers & Limitation of Liability
11.1 Platform "As Is"
Trux is provided on an "as is" and "as available" basis. We do not warrant that the platform will be error-free, uninterrupted, or free of security vulnerabilities. We are not responsible for failures in third-party services (AWS, SMS gateways, payment processors) that affect platform availability.
11.2 Third-Party Conduct
Trux is not responsible for the acts or omissions of shippers or fleet operators, including delays, damage to goods, driver conduct, non-delivery, or non-payment. We do not guarantee the quality, safety, legality, or timely completion of any freight service arranged through the platform.
11.3 Liability Cap
To the maximum extent permitted by law, Trux's total liability to you for any claim arising from use of the platform shall not exceed the lesser of (a) the platform fees paid by you to Trux in the preceding 3 months, or (b) ₹10,000.
11.4 Consequential Damages
Trux shall not be liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of freight revenue, data loss, or reputational harm — even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless Trux, its directors, officers, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) infringement of any third-party right.
13. Termination
13.1 By You
You may close your account at any time by contacting support@trux.in. All pending loads must be completed or cancelled, and all outstanding payments must be settled before account closure.
13.2 By Trux
Trux may suspend or terminate your account immediately, with or without notice, for: violation of these Terms; submission of fraudulent documents; non-payment of platform fees; threatening conduct toward other users or staff; or account inactivity exceeding 12 consecutive months. Upon termination, your right to access the platform ceases immediately.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of India. Any dispute arising from or relating to these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be referred to binding arbitration in Bengaluru, Karnataka under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement. The language of arbitration shall be English.
15. Changes to Terms
Trux may update these Terms at any time. Material changes — such as new restrictions on platform use or changes to fee structures — will be communicated via in-app notice or email at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
